1.Agreement to these terms
These Terms of Service (the “Terms”) are a binding agreement between you and Exposure Amp (“Exposure,” “we,” “us” or “our”). They cover your use of exposureamp.com, xpo.bio, our apps, Spotlight pages, dynamic QR codes, AI features, and every related service (together, the “Service”).
By creating an account, clicking to accept, or using the Service, you agree to these Terms, our Privacy Policy and our Acceptable Use Policy, which are part of these Terms. If you use the Service for a business or organization, you agree on its behalf and confirm you have authority to bind it; “you” then means both you and that organization.
If you don’t agree, don’t use the Service.
Please read Section 19. It requires most disputes to be resolved through individual binding arbitration and waives class actions and jury trials, unless you opt out within 30 days.
2.Who can use the Service
You must be at least 18 years old and able to form a binding contract. The Service is built for businesses, nonprofits and other organizations, not for personal, family or household use. You may not use the Service if we have previously suspended or removed you, or if you are barred from receiving services under applicable law.
3.Your account and security
- Give us accurate information and keep it up to date.
- You are responsible for everything that happens under your account, including actions by teammates you invite.
- Keep your login secure. Use a strong, unique password and don’t share sign-in codes. Tell us right away at support@exposureamp.com if you think your account has been accessed without permission.
- We are not responsible for losses caused by someone using your credentials, unless that happened because of our own failure to use reasonable security.
4.What the Service does
The Service includes, among other features: a hosted “Spotlight” page for your business; an AI assistant on that page that answers visitor questions from information you approve; dynamic QR codes whose destinations you can change; analytics about visits, taps and scans; AI visibility checks; and content suggestions. Features vary by plan and may change over time.
We may add, change or remove features. If we remove a feature that is a core part of a paid plan you are subscribed to, we will give you reasonable notice and, where appropriate, a prorated credit or the option to cancel.
5.No guarantee of results or AI recommendations
We help you present your business clearly to customers, search engines and AI assistants. We do not control ChatGPT, Google, Gemini, Perplexity, Apple, Microsoft or any other third-party platform, and we do not and cannot guarantee that any of them will mention, rank, recommend or describe your business in any particular way. Scores, reports, rankings and suggestions in the Service are estimates based on the information available to us at the time; results can change from day to day and may differ from what any one person sees.
We do not guarantee any number of visitors, scans, leads, bookings, customers, sales or revenue.
6.AI features
Some features use artificial intelligence, including services provided by third parties such as OpenAI. AI output can be incomplete, outdated or wrong.
- Your page’s assistant speaks for your business. It is designed to answer only from the facts, hours, contact details and offers you provide or approve. You are responsible for keeping that information accurate and for reviewing what you publish. When it can’t answer, it is designed to say so and pass the question to you.
- Do not rely on AI output for medical, legal, financial, safety or other professional advice, and do not configure your assistant to give it.
- Suggestions, drafts and content ideas we generate are starting points. You decide what to use and are responsible for what you publish.
- We may limit how often AI features can be used to keep the Service fast and fair, and to prevent abuse.
7.Dynamic QR codes and links
Dynamic QR codes and short links created with the Service send people to our servers first, which then redirect them to the destination you choose. This is what lets you change a destination without reprinting. It also means:
- Codes depend on the Service. A code works only while the Service is running and your account is in good standing. If your account is closed, suspended or downgraded, or a code is paused, archived or deleted, scans may stop reaching your destination. Where we can, paused and archived codes send people to your Spotlight page instead of an error.
- Test before you print. Scan every code on the actual material, at the actual size, before you print, mail or install it. You are responsible for the costs of printing, signage, packaging and other physical materials, including reprinting.
- Destinations are your responsibility. Make sure every link is correct, lawful and safe. We may disable any code or link that points to harmful, deceptive or unlawful content (see the Acceptable Use Policy).
- Deleted codes. When the Service offers a Trash or restore option, deleted codes can be restored for 30 days, after which they may be permanently removed and cannot be recovered.
- Scan limits, smart rules and scan counts are provided on a best-effort basis and may be affected by caching, bots, privacy tools and network conditions.
If we ever decide to shut down the Service, we will give you at least 30 days’ notice by email so you can export your data and update your materials.
8.Your content and data
“Your Content” means everything you or your team add to the Service: business details, text, logos, photos, links, answers, offers, reviews you import and similar material. You keep ownership of Your Content.
You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, adapt (for example, resize images or format text), display and distribute Your Content only as needed to run, secure, support and improve the Service, and to publish it where you tell us to, such as on your public Spotlight page and in structured data that search engines and AI assistants can read. This license ends when Your Content is deleted from the Service, except for copies kept in backups for a limited time, content others have already shared, and anything we must keep by law.
You confirm that you have all rights needed to give us this license, that Your Content is accurate, and that publishing it doesn’t violate anyone’s rights or any law. This includes photos, logos and reviews: only upload images you own or are allowed to use, and only import reviews you are allowed to display.
Information about visits, taps, scans and questions on your pages (“Analytics”) is provided to you to understand your audience. You may use Analytics only for your own business purposes and in line with applicable privacy laws.
9.Backups and data loss
We work hard to protect your data. We use reputable hosting providers, keep regular backups, and design the Service so that common mistakes can be undone. But no system is perfect, and data can be lost through software bugs, hardware failure, security incidents, mistakes by you or your team, or events outside our control.
- Keep your own copies of anything important to you. You can download a copy of your data at any time from Settings → Account.
- Our backups exist to restore the Service as a whole after a failure. We may, but are not required to, restore individual items on request, and we can’t promise a restore will be complete or current.
- To the fullest extent the law allows, we are not liable for lost, corrupted or deleted data, or for the cost of recreating it, except as stated in Section 17.
10.Third-party services
The Service connects with services we don’t control, such as payment processors, booking tools, map providers, social networks, review sites, AI providers and domain registrars. Your use of those services is governed by their own terms and privacy policies. We are not responsible for them, for their availability, or for content they provide, and we may stop supporting any integration.
11.Page links, short links and custom domains
Your page address (for example xpo.bio/your-name) is provided as part of the Service and is not your property. We may reclaim or change an address that infringes someone’s rights, is misleading, violates these Terms, or has been inactive for a long period. When you change your page link, we try to keep redirecting the old link, but we don’t guarantee it forever.
If you connect your own domain, you are responsible for owning it, renewing it and keeping its DNS records correct. Pages on a custom domain stop working if those records change or the domain lapses.
12.Plans, trials, billing and cancellation
- Subscriptions. Paid plans are billed in advance, monthly or yearly, through our payment processor (Stripe). We don’t see or store your full card number.
- Free trial. Where offered, a trial lasts 7 days and requires a payment method. Unless you cancel before the trial ends, your plan starts automatically and your payment method is charged. Trials are limited to one per business.
- Automatic renewal. Your subscription renews automatically at the end of each billing period at the then-current price until you cancel. By subscribing, you authorize us to charge your payment method for each renewal.
- Cancelling. You can cancel any time from Settings → Billing. Cancellation takes effect at the end of the current billing period, and you keep paid features until then.
- Refunds. Except where required by law or stated otherwise in writing, payments are non-refundable, including for partial periods, unused features and downgrades.
- Price changes. We may change prices. We’ll give you at least 30 days’ notice by email, and the change applies from your next renewal after the notice period. If you don’t agree, you can cancel before it takes effect.
- Failed payments. If a payment fails, we may retry it, limit paid features, or move your account to the free plan. Codes and pages beyond your plan’s limits may be paused.
- Taxes. Prices don’t include taxes unless stated. You are responsible for applicable taxes other than taxes on our income.
- Plan limits. Each plan has limits (for example, number of active QR codes, AI checks or team members), shown when you sign up or in the Service.
13.Acceptable use
You must follow our Acceptable Use Policy. In short: no illegal, deceptive, harmful or infringing content; no phishing, malware or spam; no attempts to break, overload, scrape or reverse-engineer the Service; and no misuse of other people’s information.
14.Our intellectual property
The Service, including its software, design, templates, text we write, logos and trademarks, belongs to Exposure Amp and its licensors and is protected by law. We give you a limited, non-exclusive, non-transferable, revocable right to use the Service for your business while these Terms are in effect. You may not copy, resell or create competing products from the Service.
If you send us ideas or feedback, we may use them freely without paying you or giving you credit.
15.Copyright complaints
We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice to support@exposureamp.com with: your contact information; a description of the work; the link to the material; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may remove the material and, in appropriate cases, terminate repeat infringers. If your content was removed and you believe that was a mistake, you may send a counter-notice with the information required by law.
16.Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or end your access, remove content, or disable codes and pages, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us or others, failed to pay, or if required by law. Where reasonable, we’ll tell you why and give you a chance to fix the problem first.
After your account closes, we may delete Your Content after a reasonable period (generally 30 days, plus the time it takes for backups to expire). Download anything you want to keep before closing your account. Sections that by their nature should survive (including payment obligations, ownership, disclaimers, limits of liability, indemnity and dispute resolution) survive termination.
17.Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Exposure Amp disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and quiet enjoyment, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that data will not be lost, that defects will be corrected, or that any content, AI output, score or report is accurate or complete.
Some jurisdictions don’t allow certain disclaimers, so some of the above may not apply to you.
18.Limitation of liability
To the fullest extent permitted by law: (a) Exposure Amp and its owners, employees, contractors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, customers, goodwill or data, or the cost of substitute services or of reprinting or replacing materials (such as printed QR codes), arising out of or related to the Service or these Terms, even if advised of the possibility; and (b) our total liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, or one hundred U.S. dollars ($100).
These limits apply to every theory of liability, including contract, tort (including negligence), strict liability and statute, and even if a remedy fails of its essential purpose. They don’t limit liability that cannot be limited by law, such as for fraud or gross negligence where the law does not allow it.
19.Indemnification
You agree to defend, indemnify and hold harmless Exposure Amp and its owners, employees and contractors from any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of or related to: Your Content; your QR code and link destinations; your use of the Service; your business and your dealings with your customers; your violation of these Terms or any law; or your infringement of anyone’s rights. We will tell you about any such claim and may participate in the defense with our own counsel at our own cost.
20.Disputes, arbitration and class action waiver
Talk to us first. Before filing a claim, you agree to email support@exposureamp.com with a description of the problem and try in good faith to resolve it with us for at least 30 days.
Binding arbitration. Except as stated below, any dispute arising out of or related to these Terms or the Service will be resolved by final, binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator. The arbitration may be held by video or phone, or in Montgomery County, Pennsylvania. The Federal Arbitration Act governs this section. The arbitrator may award the same individual relief a court could, but only to the individual party bringing the claim.
Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek an injunction in court to protect its intellectual property or stop misuse of the Service.
Class action and jury waiver. You and Exposure Amp each agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class, consolidated or representative action. You and Exposure Amp each waive the right to a jury trial.
Opting out. You may opt out of this arbitration agreement by emailing support@exposureamp.com within 30 days of first accepting these Terms, with your name, business name, account email and a clear statement that you opt out of arbitration.
If any part of this section is found unenforceable, the rest remains in effect, except that if the class action waiver is found unenforceable for a claim, that claim must be heard in court, not arbitration.
21.Governing law and venue
These Terms are governed by the laws of the Commonwealth of Pennsylvania and applicable U.S. federal law, without regard to conflict-of-law rules. For any matter not subject to arbitration, you and we agree to the exclusive jurisdiction of the state and federal courts located in Montgomery County, Pennsylvania.
22.Changes to these terms
We may update these Terms from time to time. If a change is material, we will give notice at least 15 days before it takes effect, by email or in the Service. The updated Terms apply from their effective date; continuing to use the Service after that date means you accept them. If you don’t agree, stop using the Service and cancel before the change takes effect.
23.General terms
- Entire agreement. These Terms, with the policies they reference, are the entire agreement between you and us about the Service and replace any earlier agreements.
- Severability. If any part is found unenforceable, it will be limited to the minimum extent needed and the rest remains in effect.
- No waiver. Not enforcing a right right away doesn’t waive it.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition or sale of assets, or to an affiliate.
- Force majeure. We aren’t responsible for delays or failures caused by events outside our reasonable control, including outages of hosting, network, AI or payment providers, natural disasters, war, labor disputes, government action, and cyberattacks.
- Notices. We may send notices to the email on your account or show them in the Service. You can send notices to support@exposureamp.com.
- Relationship. We are independent contractors. Nothing here creates a partnership, joint venture, employment or agency relationship.
- Export and sanctions. You may not use the Service in violation of U.S. export control or sanctions laws.
